ARTICLE V (Duties of Individual Officers)

1. President. The president is the chief officer of the Association and presides at its meetings and those of the Board of Directors. (S)he represents the Association and can act in its name, subject only to its declared policies. (S)he will appoint and be an ex-officio member of all committees. (S)he has the privilege of polling the members of the Board when a vote is required between board meetings. (S)he will perform all other duties usual to the office of the Association president.

2. Vice-President. The vice-president will perform such duties as are assigned by the president and act in an advisory capacity to the president. (S)he will preside at all meetings in the absence of the president.

3. Secretary. The secretary will keep a record of all the official proceedings of the Association and its Board of Directors. The secretary must ensure that notice of meetings, the agenda and minutes are distributed to the Association membership.

4. Treasurer. The treasurer has general charge of the financial affairs of the Association; however, (s)he may not issue any draft without the president or another director's co-signature, nor may (s)he issue any draft over $100 not specified in the approved budget without specific board approval. The treasurer will submit to the Board of Directors interim financial reports, and at least once a year a statement of the financial condition of the Association.

5. Director 1. The immediate past president counsels the Board on matters pertaining to the business of the Association. (S)he is automatically appointed to the Board of Directors and will perform such duties as may be assigned by the president.

6. Directors 2 and 3. Will have those responsibilities assigned to them by the President.

Upon direction of the President each officer may perform other duties appropriate to their respective offices.

ARTICLE VI (Management)

Executive Director. The Board may employ an executive director and shall define and supervise his duties. Such employee need not be a member of this association.
