1. The Association shall, upon demand, furnish a certificate in writing, signed by an officer of the Association, certifying that the assessments on a specified property have been paid, or that certain assessments against the property remain unpaid, as the case may be. The Board of Directors of the Association may request a reasonable charge for the issuance of such certificates. Such certificates are conclusive evidence of payment or nonpayment of any assessment therein stated.

ARTICLE II (Meetings of the Membership)

1. Annual Meetings. There will be at least one meeting of the membership each year. At the annual meeting, the membership will elect directors of the Association for the ensuing year. The Board of Directors may call other meetings when required.

2. Notice of Meetings. Notice of the meetings and the agenda, must be delivered to the members, or otherwise notified, at least ten (10) days in advance of the meeting date.

3. Quorum. A quorum shall consist of sixteen (16) voting members. Absentee ballots and/or written proxy authorizations will be counted in the quorum.

4. Voting Rights. At any membership meeting of the Association where any matter is to be decided by a vote of the members, all members are eligible to cast one (1) vote per each lake frontage property owned. In the event that a voting member will not be present at the time of voting, the voting member may use an absentee ballot form provided by the secretary, or authorize another member in writing to act as a proxy.

5. Majority Vote. A simple majority of the votes cast, including absentee ballots and authorized written proxies, will determine any action.

6. Rules of Order. The following rules shall govern this Association:

a. The Chair identifies who will speak
b. The Chairman may impose a time limit.
c. A topic is discussed during a period of information exchange.
d. One, and only one, motion may be proposed at a time.
e. Every motion must be proposed by a member and requires a second.
f. Discussion is then confined to the motion; all other topics are out of order.
g. Amendments may be proposed. If accepted by the original member who made the proposition, the motion and amendment are voted on as a whole. If the amendment is not accepted, they are voted on separately.
h. The amendment to the motion shall be voted first, then the motion.
i. A motion to adjourn is customary.
